Terms of Service
1. The service
Cita2 SpA (“Cita2”) provides scheduling software, customer records, payments and related tools, depending on the plan you choose. Some modules (Dental, Medical, Vet) are enabled by quotation.
2. Your account
You must be of legal age and have authority to contract on behalf of the Business. You are responsible for keeping your credentials confidential and for everything that happens in your account. Registration details must be true.
3. Plans, prices and taxes
Businesses based in Chile pay in Chilean pesos (CLP); all others pay in US dollars (USD) through Stripe or PayPal. Prices exclude indirect taxes (VAT, sales tax) where applicable: they are calculated and itemized at checkout according to your country.
The subscription renews automatically each cycle until you cancel; cancellation takes effect from the next cycle. Refunds are governed by applicable consumer law and what was disclosed at purchase.
4. Charging your customers
Your customers’ payments to your Business are processed through the gateways you connect with your own credentials. Cita2 is not a party to that commercial relationship nor liable for it. You are responsible for issuing your tax documents and complying with the laws of your country.
5. Your customers’ data: your responsibility
For your end customers’ data you are the controller and Cita2 is your processor, as set out in the DPA. You must have a legal basis to process it, keep your privacy notice, obtain explicit consent when you record health data, handle your customers’ rights within 15 days, and keep clinical records for as long as your country’s law requires.
You must set your country, time zone and currency correctly in Settings → Country, time zone and currency.
6. Acceptable use
- Do not use Cita2 for unlawful activity, to send spam, or to process data without a legal basis.
- Do not try to access other businesses’ data, break security or overload the service.
- Do not use the clinical modules unless you are a professional authorized to practice in your jurisdiction.
7. Clinical modules
Cita2 is a record-keeping and management tool: it does not provide healthcare, does not replace professional judgment and does not guarantee compliance with your country’s specific health regulations. Cita2 is not a HIPAA-certified platform and does not sign BAAs.
8. Ownership and your data
Cita2 retains its rights in the software and brand. You retain your rights in your data and your customers’ data. You may export it while your account is active and for a reasonable period after cancelling, except what the law requires us to retain.
9. Availability and liability
We aim for high availability, but the service is provided “as is” and may be interrupted. To the extent permitted by law, Cita2’s total liability is limited to the amount the Business paid in the 12 months before the event, and Cita2 is not liable for lost profits or indirect damages. Nothing here limits liability that the law does not allow to be limited.
10. Suspension and termination
You may cancel at any time. We may suspend accounts for breach of these terms, non-payment or security risk, giving notice where possible.
11. Governing law
These terms are governed by the laws of Chile and the courts of Santiago, without prejudice to the non-waivable rights granted to you by the consumer or data-protection law of your country of residence.
12. Changes
If we make material changes to these terms we will notify you with reasonable advance notice. Continuing to use the service means accepting the new version.
Base document: it must be reviewed by legal counsel in each jurisdiction.
